Agreement
These terms govern your use of Spots (spots.fm), a marketplace where independent creators list sponsorship spots and advertisers book them. Spots is operated by Nerd North Inc., a company based in British Columbia, Canada ("Spots", "we", "us"). By creating an account, booking a spot, or otherwise using Spots, you agree to these terms and to our Privacy Policy. If you use Spots on behalf of a company, you confirm you can bind that company to these terms.
Accounts
- Creators must be at least 16. Advertisers must be adults (18, or the age of majority where they live). Creators under 18 also need a parent or legal guardian's agreement (see Creators under 18).
- Give accurate information and keep it up to date.
- Keep your password safe. You are responsible for activity on your account, including by team members you invite.
Creators
If you list sponsorship spots on Spots, you agree that:
- you own or have the right to sell sponsorships on the channels you list
- the stats, prices, and details you publish are accurate and not misleading
- you will deliver the sponsorships you accept, as described, on the agreed dates
- you are responsible for your own taxes and for following the rules of the platforms you publish on
Creators under 18
If you are 16 or 17 (or otherwise under the age of majority where you live), a parent or legal guardian must review and agree to these terms on your behalf before you use Spots. By letting you use Spots, they accept these terms for you and are responsible for your use of Spots, including the bookings you accept.
To receive payouts, your parent or legal guardian must also complete payout setup with Stripe. Stripe requires a legal guardian to become the owner of a minor's payout account before it can receive funds, and in some countries (such as Brazil) Stripe only allows payout accounts for people 18 or older. Until payout setup is complete, you can't be paid for bookings.
Advertisers
If you book a sponsorship on Spots, you agree that:
- you have the rights to the ad copy, logos, and other creatives you provide
- your ads and products are lawful and not deceptive
- creators may decline a booking, and may require changes to creatives that don't fit their audience
Bookings, payments, and fees
Payments are processed by Stripe, and creators receive payouts through Stripe Connect. By using payments on Spots you also agree to Stripe's terms. Spots charges the plan and platform fees shown to you before you agree to them.
Each booking is an agreement between the creator and the advertiser to run the sponsorship. Spots provides the marketplace and collects payment for bookings as the creator's limited payment collection agent: when an advertiser pays Spots for a booking, that counts as paying the creator, and Spots then pays the creator their share, less fees.
Cancellations and refunds
- When you book a spot, we place a hold on your card. You are only charged if the creator approves the booking. If they decline it, the hold is released and you aren't charged.
- Monthly bookings renew automatically each month at the price shown when you booked, until you or the creator cancel. You can cancel at any time from the sponsorship page. The booking then runs until the end of the month already paid for and stops renewing. We don't refund partial months.
- Once a booking is approved and charged, refunds are only given if the creator doesn't deliver the sponsorship as described. If something goes wrong with a booking, contact the creator first, then email help@spots.fm and we will help sort it out.
Creator plans and renewals
Paid creator plans are billed monthly at the price shown on the plan page and renew automatically until cancelled. They start with a 14-day free trial: we take your card up front, and unless you cancel before the trial ends, your plan starts and you are charged automatically. You can cancel at any time by switching to the Free plan from your plan page. Your paid plan then stays active until the end of the period already paid for. We don't refund partial periods.
YouTube and connected platforms
Creators can connect third-party platforms to import channel details. Spots uses YouTube API Services to import YouTube channel information. By connecting a YouTube channel you agree to be bound by the YouTube Terms of Service. How we handle that data is described in our Privacy Policy. Your use of any connected platform is also governed by that platform's own terms.
Your content
You keep ownership of the content you add to Spots, such as profile details, channel information, and ad creatives. You give Spots a non-exclusive, royalty-free license to host, copy, and display that content only as needed to run Spots, including showing creator pages publicly and passing ad creatives to the creator you book. The license ends when you delete the content, except for copies kept in backups or already used in a delivered sponsorship. You are responsible for the content you add.
Acceptable use
Don't use Spots to:
- break the law or infringe anyone's rights
- publish false stats, fake listings, or misleading ads
- promote illegal, hateful, or harmful products or content
- arrange bookings off Spots to avoid fees within 12 months of first meeting through Spots
- disrupt, probe, or scrape the service, or access accounts that aren't yours
Suspension and closing your account
You can close your account at any time by emailing help@spots.fm. We may suspend or close accounts that break these terms or put other users at risk. Bookings already paid for may still need to be completed or refunded.
Disclaimers and liability
Spots is provided "as is". We work hard to keep it running but don't promise it will be uninterrupted or error-free, and we don't guarantee any creator's audience or any sponsorship's results. To the extent the law allows, Spots is not liable for indirect or consequential losses, and our total liability for any claim is limited to the greater of the fees you paid Spots in the 12 months before the claim or US$100.
If you are a consumer, nothing in these terms limits rights you have under the consumer laws where you live that can't be waived by contract, including any statutory right to cancel.
Indemnity
You agree to cover Spots against claims, losses, and costs (including reasonable legal fees) that come from content you add to Spots, such as ad creatives, logos, and the products they promote; from your breach of these terms; or from your violation of the law or anyone's rights.
Governing law
These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, and disputes will be handled by the courts of British Columbia. If you are a consumer living in the EU, UK, or another country whose laws give you the right to bring claims in your local courts under your local law, you keep that right.
Changes to these terms
We may update these terms as Spots changes. We will update the date at the top, and for significant changes we will let you know by email or in the app. Continuing to use Spots after a change means you accept the updated terms.
